Trade Name & State Business Services
For consumer protection purposes, the State of Connecticut General Statute Section 35-1(a) requires that any person doing business in Connecticut, except as provided by statute, under any name other than the name of the person or persons conducting or transacting business, must register a Trade Name Certificate with the Town Clerk's office in the town where the business is to be conducted or transacted.
Any person conducting business under any assumed name shall file a Trade Name Certificate in the town they are doing business in. All people who are authorized to sign on behalf of the business must sign their name on the Trade Name Certificate. (CGS 35-1) The signatures must be witnessed by a Notary Public or Town Clerk.
The trade name filing requirement does not apply to partnerships (if the name includes the true Surname of at least one of the persons composing said partnership), limited partnerships which have registered with the Secretary of the State, or Limited Liability companies also registered with the State.
